Welcome to Pastewaves. By accessing or using our audio sharing platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

1. Acceptance of Terms

By creating an account, uploading content, or using any part of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Subscription Plans & Pricing

Pastewaves offers two subscription tiers:

Free Tier

Unlimited storage capacity
50MB maximum file size
7-day temporary retention (files automatically deleted after 7 days)
No permanent storage available

Pro Tier - $5/month

250GB storage quota
150MB maximum file size
Permanent storage until user deletion
Personal file manager
Automatic recurring monthly billing

Over-Quota Handling: Pro users who exceed their 250GB quota will have new uploads automatically converted to 7-day temporary storage until space is freed.

3. Payment Terms & Refunds

Pro subscriptions are billed monthly at $5 USD through Stripe, our secure payment processor. Subscriptions automatically renew each month unless cancelled.

Non-Refundable Policy

All subscription fees are non-refundable. There will be no refunds or credits for:

Partial months of service
Unused storage quota
Early cancellation

Exceptions apply only where required by law (e.g., EU 14-day withdrawal right, Australian Consumer Law).

Price Changes: We reserve the right to change subscription pricing with 30 days advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Intellectual Property Rights

Your Content Remains Yours. All audio files and content you upload to Pastewaves ("Your Content") remain your intellectual property. By uploading content to our Service, you retain full ownership and all rights to Your Content.

What We Don't Do: Pastewaves will never:

Use Your Content for any purpose other than providing the Service to you
Sell, license, or monetize Your Content
Analyze or process the actual audio content of your files
Share Your Content with third parties (except as necessary to provide the Service, such as cloud storage providers)

What We May Collect: To enhance and improve our Service, we may collect and analyze technical metadata from your audio files, including but not limited to:

File size and format
Bitrate and bit depth
Sample rate and duration
Codec information
Upload timestamps and storage statistics

This metadata is used solely for analytical purposes to improve service performance, optimize storage, and enhance user experience. We do not analyze or process the actual audio content itself.

5. License Grant

By uploading Your Content, you grant Pastewaves a limited, non-exclusive, royalty-free license to:

Store Your Content on our servers and cloud infrastructure
Process Your Content as necessary to provide the Service (e.g., format conversion, compression)
Transmit Your Content to you and users you choose to share with
Create backup copies for service reliability

This license exists solely to enable us to provide the Service and terminates when you delete Your Content or close your account.

6. User Responsibilities and Prohibited Content

Copyright Compliance Required. You must not upload copyrighted material unless you own the copyright or have explicit permission from the copyright holder.

By uploading content to Pastewaves, you represent and warrant that:

You own all rights to the content, or have obtained all necessary permissions and licenses
Your Content does not infringe on any third-party intellectual property rights
Your Content does not violate any applicable laws or regulations

Prohibited Content: You may not upload content that:

Infringes on copyrights, trademarks, or other intellectual property rights
Contains malware, viruses, or malicious code
Is illegal, harmful, threatening, abusive, harassing, or otherwise objectionable
Contains personal information of others without their consent
Violates any applicable local, state, national, or international law

7. Copyright Infringement and DMCA

User Responsibility: Pastewaves is not responsible for content uploaded by users. Users are solely responsible for ensuring they have the right to upload and share their content.

If you believe that content on our Service infringes your copyright, please contact us with:

A description of the copyrighted work
The URL or location of the infringing content
Your contact information
A statement of good faith belief that the use is not authorized
A statement that the information is accurate and you are authorized to act on behalf of the copyright owner

We will investigate valid complaints and may remove infringing content. Repeat infringers may have their accounts terminated.

8. Service Availability & Termination

"AS IS" Service Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee:

Uninterrupted or error-free service
That the Service will meet your specific requirements
That files will always be available or accessible
Any specific uptime percentage

We strive to provide reliable service, but the Service may be temporarily unavailable due to maintenance, updates, or technical issues beyond our control.

Our Right to Modify or Discontinue: We reserve the right to:

Suspend or terminate your account immediately for Terms violations
Discontinue the Service entirely with 60 days advance notice
Modify or remove features with 60 days notice
Suspend services without notice due to: legal requirements, security threats, natural disasters, or technical emergencies beyond our control

9. Limitation of Liability

Liability Cap

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:

(a) $20 USD, OR
(b) The amount you paid us in the 12 months before the claim arose

Excluded Damages: WE SHALL NOT BE LIABLE FOR:

Lost profits, revenue, or business opportunities
Lost, corrupted, or inaccessible data or files
Indirect, incidental, special, or consequential damages
Downtime, service interruptions, or data loss
Third-party actions or content
Any damages arising from your inability to access the Service

10. Storage and File Retention

File retention periods vary based on your account type:

Free Tier: 7-day automatic deletion (temporary storage only)
Pro Tier: Permanent storage until user deletion (within 250GB quota)

Over-Quota Files: Pro users exceeding 250GB quota will have new uploads converted to 7-day temporary storage until space is freed.

We recommend maintaining your own backups of important content. Upon account deletion, all data is permanently removed within 30 days.

11. Privacy and Data Collection

We collect minimal personal information necessary to provide the Service. Please review our Privacy Policy for details on how we collect, use, and protect your data.

We use CloudWatch and similar services to monitor service health and performance. This may include aggregated usage statistics but does not include analysis of your actual audio content.

12. Indemnification

You agree to indemnify and hold harmless Pastewaves, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

Your violation of these Terms
Your violation of any third-party rights, including copyright infringement
Your use of the Service
Content you upload to the Service

13. Account Termination & Data Deletion

User Cancellation:

You may cancel your Pro subscription at any time
Access continues until the end of your current billing period
No refunds for unused portions of the billing period
After cancellation, all files will be subject to Free tier retention (7-day deletion)

Our Termination Rights: We reserve the right to suspend or terminate your account immediately for Terms violations, conduct harmful to other users, or any other reason at our sole discretion.

Data Deletion:

All user data, including audio files, will be permanently deleted within 30 days after account termination or cancellation
Backup copies may be retained for up to 30 days (industry standard)
Data deletion is permanent and irreversible
You may request immediate data deletion by contacting support

14. Our Philosophy: Don't Be Evil

We are committed to being a trustworthy platform that respects your rights and privacy. We will never use your content for purposes beyond providing you with our Service. Your audio files are yours, and we treat them with respect.

15. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes by:

Posting the updated Terms on our website
Updating the "Last Updated" date
Sending email notifications for significant changes (if we have your email)

Your continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Pastewaves operates, without regard to conflict of law principles.
